Terms of Service

The service

Personade provides software that turns one recorded demo into a personalized video and landing page for each of your leads, and helps you find those leads. Personade does not send your outreach for you. You send the links yourself, and you are the sender of everything you send. We may add, change, or remove features over time.

Accounts and eligibility

You must be at least 18 and able to enter a contract. You are responsible for your account, your login credentials, and everything done under your account. Keep your details accurate and your credentials secure.

Acceptable use

You agree not to use Personade to:

• Commit fraud, run a scam, phish, or deceive anyone about who you are, who you represent, or what you are offering.
• Impersonate any person or organization, or misrepresent your affiliation with one.
• Create, using the voice or video features, a voice or likeness of anyone other than yourself, or of anyone who has not given you clear consent.
• Send unlawful, harassing, hateful, or infringing content.
• Promote pyramid or multi-level marketing schemes, or market regulated goods such as securities, drugs, or gambling without the required authorization.
• Break the anti-spam, privacy, and marketing laws that apply to your outreach, including CAN-SPAM, CASL, GDPR, and similar rules.
• Scrape, overload, or attempt to break, bypass, or reverse engineer the service.

Your content

You keep ownership of the recordings, contacts, and other content you provide. You grant us a limited license to host and process that content only to provide the service to you, including creating a voice model from your recording to speak the opening lines you generate. You confirm that you have the rights and a lawful basis to upload your content and to contact the people you reach out to through Personade. You are solely responsible for the content of every video and page you generate and for the outreach you send.

Voice and likeness

Personade creates a voice model from your recording so it can speak the opening lines you generate. Because this is a powerful feature, you make the following promises each time you use it:

• The face and voice you record are your own, or belong to a person who has given you clear, documented consent to be cloned and used this way.
• You will not use Personade to create the voice or likeness of any other person.
• You will not use a generated video to impersonate anyone, to defraud, or to make anyone appear to say something they did not agree to say.

Disclosure and compliance

The footage in your videos is genuinely you, and only the opening line is synthesized in your own cloned voice. You remain responsible for complying with the laws that apply to your outreach, including any disclosure requirements and any consent your jurisdiction requires.

Monitoring and enforcement

We do not pre-screen or monitor user content, and we are not responsible for it. We may, but are not obliged to, review content and account activity. If we believe in good faith that content or use breaks these terms or the law, or creates risk to other people or to us, we may remove content, suspend or terminate the account immediately and without notice, withhold refunds, and cooperate with or report the matter to law enforcement and to affected parties. Plans, billing, and credits

Paid plans are billed in advance on a recurring basis. One credit is consumed when a personalized video and its page are generated. Fees are non-refundable except where required by law. We may change pricing with notice, effective at your next billing cycle.

Personade for Slack

Personade for Slack is a separate product with its own account and its own billing. It is charged per seat, not per video. A seat is a person who could receive a message, not a message sent, which means a plan covers however many birthdays, work anniversaries and first days fall in the period at no extra cost.

Anybody removed from the roster by an administrator, and anybody who opts out themselves, does not count as a seat and is not charged for.

Plans are sold in bands by headcount and billed yearly or monthly in advance. Paying yearly costs less than twelve monthly payments; the saving is stated at checkout. Fees are non-refundable except where required by law, and cancelling stops the next renewal rather than refunding the current period. We may change pricing with notice, effective at your next renewal.

Your obligations as the employer.You are the controller of your employees' personal data. You are responsible for having a lawful basis to process it, for telling your staff that the app is in use, and for the content of any message you write. You must not use the product to send anything a reasonable person would find unwelcome, and you must not attempt to undo or discourage an individual's opt-out.

What we will not do.We will not remove or override a person's opt-out on your instruction, and we will not add a colleague who has opted out back into a paid seat count.

Data processing terms.Because you are the controller of your employees' data and we process it for you, our Data Processing Agreement forms part of these terms and applies automatically when you install Personade for Slack. There is nothing to sign. It sets out what we handle, our security measures, subprocessors, breach notice, deletion and international transfers. If these terms and that agreement disagree about personal data, that agreement wins.

Intellectual property

Personade, including the software, design, and brand, belongs to us. These terms do not grant you any rights in our intellectual property other than the right to use the service as permitted.

Termination

You may stop using Personade at any time. We may suspend or terminate your access immediately and without notice if you breach these terms, misuse the voice or video features, or use the service in a way that creates legal or reputational risk. Fees already paid are not refunded when we terminate for breach. On termination, your right to use the service ends and we may delete your data after a reasonable period. The sections that by their nature should continue, including Your content, Voice and likeness, Intellectual property, Disclaimers, Limitation of liability, Indemnification, and Governing law, survive termination.

Disclaimers

The service is provided "as is" without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted, error free, or that it will produce any particular outcome.

Limitation of liability

To the fullest extent permitted by law, Personade will not be liable for indirect, incidental, or consequential damages, and our total liability will not exceed the amount you paid us in the twelve months before the claim. These limits do not apply to, and do not reduce, your obligation to indemnify us or any amounts you owe us. Some jurisdictions do not allow certain limits, so parts of this section may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Personade and its people from any claim, loss, liability, and cost, including reasonable legal fees, arising from: your content or recordings; the outreach you send and the videos and pages you generate; any claim by a person you contacted, or whose voice or likeness you used; your fraud, misrepresentation, or violation of law; or your breach of these terms. We may take control of the defense of any claim you are required to indemnify, and you will cooperate with us. This obligation survives termination and is not limited by the cap in Limitation of liability.

Governing law

These terms are governed by the laws of the jurisdiction where Personade is established, without regard to conflict of law rules. The courts of that jurisdiction have exclusive jurisdiction over any dispute arising from these terms or your use of the service.

Changes

We may update these terms. We will post the new version here and update the date above. Continued use after a change means you accept the updated terms.
